Art. - Duration and renewal

This contract is valid for 36 / 48 months from the signing date.
Upon expiry, it will be automatically renewed for a further 12 (twelve) months unless terminated with at least 90 (ninety) days’ notice by certified email (PEC) or registered letter with return receipt.

Art. - Fees and payment terms

For subscription services, the Client shall pay the Supplier a monthly fee of € 680,⁰⁰ + VAT.
Payment shall be made by bank transfer to the Supplier’s account, on a monthly advance basis.
In case of late payment, interest will be applied pursuant to Legislative Decree 231/2002.

Art. - Supplier’s obligations

The Supplier undertakes to:
- Perform the services with the highest professional diligence;
- Comply with the agreed intervention times;
- Keep Client information confidential;
- Provide technical support within agreed terms;
- Coordinate with any third parties appointed by the Client for specific developments.

Art. - Client’s obligations

The Client undertakes to:
- Provide timely information necessary for the performance of services;
- Make payments within the agreed timeframes;
- Appoint a contact person for communications with the Supplier;
- Use the website in compliance with applicable laws;
- Promptly report any malfunctions.

Art. - Intellectual property

All content provided by the Client remains their exclusive property;
The code developed by the Supplier specifically for the Client becomes the Client’s property upon full payment of the agreed fees;
Third-party software components remain subject to their respective licenses.

Art. - Limitation of liability

The Supplier shall not be liable for:
- Content published by the Client;
- Service interruptions due to force majeure;
- Malfunctions caused by unauthorized third-party modifications;
- Indirect or consequential damages.

Art. - Termination

Either party may terminate the contract with 90 (ninety) days’ notice by PEC or registered letter with return receipt.
In the event of early termination by the Client, the latter shall pay the remaining monthly fees to cover management and license costs.

Art. - Confidentiality

Both parties agree to keep confidential all information acquired under this contract.

Art. - Privacy and personal data processing

Both parties agree to process personal data in compliance with EU Regulation 2016/679 (GDPR) and Legislative Decree 196/2003 as amended by Legislative Decree 101/2018.

Art. - Privacy Policy and User Consent Management for the website/application

The Client undertakes to create an account with a CMP (i.e., Iubenda, Cookiebot, etc.). The Supplier will configure, update, and manage the account.

Art. - Jurisdiction

For any dispute regarding the interpretation, performance, or termination of this contract, the Court of Rome shall have exclusive jurisdiction.

Art. - Final provisions

For all matters not expressly covered herein, the provisions of the Italian Civil Code and applicable special laws shall apply.
